1. Acceptance of Terms
By accessing the Sheper.ai website (“the Site”) or engaging Sheper.ai (“Sheper,” “we,” “us,” or “our”) for consulting, software engineering, or AI transformation services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please refrain from using our website and services.
2. Description of Services
Sheper provides AI Transformation & Enablement-as-a-Service (AI-TEaaS), which encompasses:
- Executive AI strategy roadmapping and feasibility studies.
- Custom software engineering, including progressive web applications (PWAs), API orchestration, and intelligent automation pipelines.
- Deployment of autonomous AI agents, large language model (LLM) integrations, and Retrieval-Augmented Generation (RAG) systems.
- Ongoing strategic consulting, enablement, and post-deployment optimization.
3. Intellectual Property
Unless otherwise agreed in a separate Statement of Work (SOW), Sheper retains ownership of all pre-existing frameworks, proprietary methodologies, reusable code libraries, and architectural patterns used during engagement.
Upon full and final payment for a given project or engagement, the following assets are transferred to the client:
- All project-specific data, including fine-tuned models trained exclusively on client-provided datasets.
- Custom software deployments, codebases, and configurations developed specifically for the client's use case.
- Operational documentation and handover materials produced during the engagement.
4. Client Responsibilities
Successful AI integration requires active collaboration. Clients agree to:
- Provide accurate, complete, and timely operational data needed for workflow analysis, model training, and system integration.
- Grant reasonable access to existing legacy systems, APIs, and databases required to complete the scoped engagement.
- Designate a point of contact with decision-making authority to review deliverables and provide feedback within agreed timelines.
5. Limitation of Liability
To the fullest extent permitted by applicable law, Sheper shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, or business interruption, arising from:
- Third-party API outages, service disruptions, or deprecations beyond Sheper's control.
- Failures or performance issues originating from legacy client systems, infrastructure, or data quality issues not disclosed during the discovery phase.
- Use of or inability to use the deliverables in a manner inconsistent with the documented scope, architecture, or operational recommendations provided by Sheper.
In no event shall Sheper's total aggregate liability exceed the fees actually paid by the client for the specific engagement giving rise to the claim during the twelve (12) months preceding the event.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law principles. Any disputes arising from these Terms or the use of Sheper's services shall be resolved exclusively in the courts of [Insert Jurisdiction].
7. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Continued use of the Site or our services after any modifications constitutes acceptance of the updated Terms.
